These Terms of Use govern access to and use of the services provided by Kumatomo Limited, Hong Kong (“Kumatomo Limited,” “Kumatomo,” “we,” “us,” or “our”), including the Kumatomo child-facing application and AI voice assistant, Kuma Guardian, School Guardian, the website at kumatomo.com, the school platform at schoolguardian.ai, and any related websites, portals, apps, dashboards, APIs, reports, notifications, content, software, and services provided by us.

By accessing, using, registering for, connecting to, downloading, installing, or permitting a child to use any part of the Services, you agree to these Terms of Use.

If you are a Parent, Guardian, School, teacher, school administrator, counsellor, SENCO, safeguarding lead, or other adult authorizing or supervising a child’s use of the Services, you agree to these Terms both for yourself and, to the extent permitted by law, on behalf of the child user.

If you do not agree to these Terms, do not use the Services and do not allow any child to use the Services.

0.0 The Kumatomo Ecosystem

Kumatomo operates an integrated child-support, parent-visibility, and school-oversight ecosystem.

The ecosystem includes:

  1. Kumatomo — the child-facing application and AI voice assistant through which a child may speak with or otherwise interact with the app.
  2. Kuma Guardian — the parent-facing application, dashboard, control, summary, and visibility layer. Kuma Guardian may be available for free through the Apple App Store and Google Play and may be used by parents and guardians to receive additional information, summaries, alerts, controls, and visibility relating to a child’s use of Kumatomo.
  3. School Guardian — the school-facing platform, dashboard, oversight, summary, and safeguarding-support layer, available at schoolguardian.ai.

Kumatomo is designed as a transparent, adult-supervised child-support service. It is not intended to be a private, secret, or confidential channel between a child and an AI system.

The child-facing Kumatomo app may process a child’s voice so that the child can speak to the app. Voice interaction is part of the core functionality of the Services. The child’s voice input may be processed, transcribed, analyzed, summarized, stored, flagged, and surfaced to parents and, where applicable, authorized school personnel.

Parents may receive summaries and visibility into the child’s use of the Services through Kuma Guardian. These summaries may include routine summaries even where there is no urgent issue.

Where a child account is connected to a school, authorized school personnel may receive summaries, alerts, flags, or other relevant information through School Guardian.

Kumatomo includes automated AI flagging. If the Services detect or infer that a conversation may involve something serious, concerning, unsafe, sensitive, or beyond ordinary everyday support, the Services may automatically surface that information to Kuma Guardian and, where applicable, School Guardian.

This means:

  1. ordinary use may be summarized for parents;
  2. concerning use may be flagged to parents;
  3. serious or critical matters may be escalated to parents and, where applicable, schools;
  4. the child should not expect conversations with Kumatomo to be confidential from parents or authorized school personnel;
  5. the Services are designed to keep responsible adults in the loop.

Kumatomo is not therapy, not counselling, not diagnosis, not medical care, not psychiatric care, not speech therapy, not a crisis service, and not an emergency service.

Kumatomo is intended to support everyday communication, reflection, emotional labeling, organization, routine support, social-emotional learning, school participation, and similar non-clinical support activities.

Where a conversation becomes more serious than ordinary everyday support, the Services may redirect, summarize, interrupt, flag, or escalate the interaction to responsible adults instead of continuing as a private or therapeutic conversation.

A child should not use Kumatomo as a secret diary, private counselling channel, or emergency help line.

If there is any risk of harm, abuse, self-harm, suicide, violence, exploitation, medical emergency, or other urgent issue, the responsible adult must contact emergency services, child-protection authorities, a qualified professional, or another appropriate human support service immediately.

1. Definitions

For purposes of these Terms:

“Services” means Kumatomo, Kuma Guardian, School Guardian, the website at kumatomo.com, the school platform at schoolguardian.ai, and all related applications, dashboards, reports, alerts, APIs, software, content, communications, and support services provided by Kumatomo Limited.

“Kumatomo” means the child-facing application, AI assistant, voice assistant, conversational interface, and related child-facing experience.

“Kuma Guardian” means the parent-facing application, dashboard, control, visibility, summary, notification, and reporting service, including the Kuma Guardian app that may be available through the Apple App Store and Google Play.

“School Guardian” means the school-facing application, dashboard, administrative, oversight, reporting, and safeguarding-support service, including the school platform available at schoolguardian.ai.

“Child User” means any user under the age of majority or adulthood under applicable law, including any child, teenager, student, pupil, or minor using the Services directly or indirectly.

“Parent” or “Guardian” means a parent, legal guardian, caregiver, or other adult legally authorized to supervise or make decisions for a Child User.

“School” means any nursery, kindergarten, preschool, school, academy, educational institution, tutoring provider, school district, school trust, special educational setting, or similar institution.

“Authorized School User” means any teacher, administrator, SENCO, counsellor, safeguarding lead, designated child-protection officer, pastoral staff member, support staff member, or other adult authorized by a School to access School Guardian or school-linked features.

“Conversation Data” means data generated through or relating to a Child User’s interaction with the Services, including voice input, text input, AI responses, transcripts, metadata, summaries, flags, alerts, reports, prompts, and system logs.

“Voice Data” means voice recordings, audio input, audio segments, speech-to-text output, audio metadata, speech-recognition output, or other information generated from or relating to a child speaking to the Services.

“Routine Summary” means a non-urgent summary or overview of a Child User’s ordinary use of the Services.

“Elevated Concern Flag” means an automated or human-generated indication that a conversation may involve content more serious than ordinary everyday support.

“Critical Alert” means an automated or human-generated indication of potentially urgent, serious, or high-risk content, including possible self-harm, suicidal ideation, abuse, violence, exploitation, severe distress, serious eating-related risk, or other significant safeguarding concerns.

“SEN” means special educational needs, additional educational support needs, learning support needs, accessibility needs, neurodivergent learning profiles, or similar educational support categories.

2. Acceptance of These Terms

By using the Services, creating an account, linking a child account, enabling a school-linked account, accessing Kuma Guardian, accessing School Guardian, or permitting a Child User to use Kumatomo, you agree to these Terms.

If you are enabling or supervising a Child User’s use, you agree to these Terms both personally and, where legally permitted, on behalf of the Child User.

If you use the Services on behalf of a School or other institution, you represent and warrant that you are authorized to bind that School or institution to these Terms and to any applicable school agreement, data-processing agreement, or order form.

3. Eligibility and Authority

A Child User may use the Services only where all required permissions, notices, and consents have been obtained.

A Child User may not use the Services unless:

  1. the required Parent or Guardian authorization has been obtained;
  2. the Child User is using the Services through or with a School that has authority to enable such use under applicable law and agreement; or
  3. another valid legal basis exists under applicable law.

Parents, Guardians, Schools, and other adults enabling use of the Services represent and warrant that they have the legal authority to do so.

We may request information, verification, confirmations, or documentation to establish age, parental authority, school authority, account linkage, or consent status.

We may suspend, restrict, or terminate access if we believe required authorization, consent, or legal basis is missing, invalid, withdrawn, disputed, or incomplete.

4. Nature of the Services

Kumatomo is an AI-powered child-support service intended to support communication, emotional reflection, organization, routine support, social-emotional learning, school participation, and related educational or wellbeing support activities.

Kuma Guardian is the parent-facing companion service that may provide Parents or Guardians with visibility into a Child User’s interactions, including routine summaries, conversation history, transcripts, excerpts, flags, alerts, usage information, and suggested follow-up prompts.

School Guardian is the school-facing companion service that may provide Schools and Authorized School Users with visibility into school-linked Child User interactions, including summaries, excerpts, transcripts, flags, alerts, reports, and safeguarding-support information.

The Services may be provided through voice, text, dashboards, web interfaces, mobile applications, reports, notifications, email, APIs, or other means.

5. No Therapy, No Counselling, No Diagnosis, No Medical Service

The Services are not therapy, psychotherapy, counselling, psychiatric care, psychological care, speech therapy, occupational therapy, behavioral therapy, medical care, crisis intervention, or emergency support.

The Services are not a medical device.

The Services do not diagnose, treat, cure, prevent, monitor, or manage any medical, psychiatric, developmental, psychological, behavioral, speech, language, learning, educational, or other condition.

No output generated by the Services is medical advice, mental-health advice, psychiatric advice, counselling advice, speech-therapy advice, safeguarding advice, educational-placement advice, or legal advice.

No use of the Services creates a therapist-patient relationship, doctor-patient relationship, counsellor-client relationship, psychologist-client relationship, speech-therapist-client relationship, emergency-response relationship, or other licensed professional relationship.

The Services may discuss feelings, school experiences, routines, communication, relationships, worries, or coping ideas. That does not make the Services therapy, counselling, or clinical care.

Parents, Guardians, and Schools must not rely on the Services as the sole or primary basis for decisions involving a child’s health, mental health, education, welfare, discipline, accommodations, diagnosis, treatment, support plan, safeguarding response, or emergency response.

6. AI-Generated Outputs and Limitations

The Services use artificial intelligence, automated analysis, speech recognition, language models, safety classifiers, summarization systems, and related technologies.

AI-generated outputs may be incomplete, inaccurate, inappropriate, delayed, biased, overly broad, contextually wrong, or unsuitable for a particular child, family, school, jurisdiction, language, culture, disability profile, or situation.

The Services may misunderstand:

  1. child speech;
  2. pronunciation;
  3. accents;
  4. tone;
  5. emotion;
  6. background noise;
  7. context;
  8. urgency;
  9. jokes or sarcasm;
  10. disability-related speech patterns;
  11. developmental speech differences;
  12. multilingual speech;
  13. slang or local expressions.

The Services may generate false positives and false negatives.

A flag may appear even where there is no serious concern. A serious concern may exist even where no flag appears.

Parents, Guardians, and Schools remain responsible for human supervision, judgment, and follow-up.

7. Voice Data

The child-facing voice functionality of Kumatomo exists so that a Child User can speak to the app and receive app-generated responses.

By using the Services, or by allowing a Child User to use the Services, you acknowledge and agree that Voice Data may be collected, received, processed, transcribed, analyzed, stored, summarized, flagged, disclosed, and otherwise used in connection with the Services.

Voice Data may be used for purposes including:

  1. enabling the child to speak to Kumatomo;
  2. converting speech to text;
  3. understanding and responding to the Child User;
  4. generating AI responses;
  5. creating transcripts and conversation history;
  6. creating Routine Summaries;
  7. identifying Elevated Concern Flags;
  8. identifying Critical Alerts;
  9. surfacing information to Kuma Guardian;
  10. surfacing information to School Guardian where applicable;
  11. safety analysis;
  12. abuse prevention;
  13. troubleshooting;
  14. technical support;
  15. product operation;
  16. service improvement where permitted;
  17. compliance with law;
  18. enforcement of these Terms.

Voice Data may include sensitive information if a Child User speaks about personal matters, emotions, family, school, friends, distress, health, identity, conflict, bullying, or safety.

A Child User should not assume that Voice Data is private from Parents, Guardians, or, where applicable, Authorized School Users.

8. Conversation Data

Conversation Data may include voice input, transcribed text, typed text, AI responses, summaries, classifications, flags, alerts, timestamps, device information, usage data, and related logs.

Conversation Data may be processed to:

  1. operate the Services;
  2. maintain account history;
  3. provide Parent visibility through Kuma Guardian;
  4. provide School visibility through School Guardian;
  5. create Routine Summaries;
  6. create Elevated Concern Flags;
  7. create Critical Alerts;
  8. improve safety systems;
  9. detect misuse;
  10. comply with applicable law;
  11. support troubleshooting and customer support.

Conversation Data may contain personal, sensitive, or child-related information.

Parents, Guardians, and Schools acknowledge that children may disclose sensitive information while using the Services and that such information may be summarized, flagged, or surfaced to adults as described in these Terms.

9. Parent Transparency and Kuma Guardian

Kumatomo is designed to keep Parents and Guardians informed.

Through Kuma Guardian, Parents and Guardians may receive or access:

  1. routine summaries;
  2. conversation history;
  3. transcripts;
  4. conversation excerpts;
  5. usage history;
  6. emotional themes;
  7. topic summaries;
  8. Elevated Concern Flags;
  9. Critical Alerts;
  10. suggested follow-up prompts;
  11. account controls;
  12. notification settings;
  13. child account information.

Kuma Guardian may be available for free through the Apple App Store and Google Play and may be used by Parents and Guardians to receive additional information, summaries, alerts, controls, and visibility relating to the Child User’s use of Kumatomo.

Parents may receive Routine Summaries even where no urgent issue exists.

Parents may receive Elevated Concern Flags where the Services detect or infer that a conversation may involve something more serious than ordinary everyday support.

Parents may receive Critical Alerts where the Services detect or infer serious or potentially urgent concerns.

By allowing a Child User to use Kumatomo, the Parent or Guardian agrees that Kumatomo is not a confidential channel hidden from the Parent or Guardian.

Parents and Guardians are responsible for explaining to the Child User, in an age-appropriate way, that interactions with Kumatomo may be visible to the Parent or Guardian through Kuma Guardian.

Parents and Guardians are responsible for reviewing Kuma Guardian, keeping account information up to date, securing their login credentials, and taking appropriate action in response to summaries, flags, or alerts.

10. School Transparency and School Guardian

Where a Child User’s account is connected to a School, the School and Authorized School Users may receive or access information through School Guardian.

School Guardian may be available at schoolguardian.ai.

School Guardian may include:

  1. student summaries;
  2. usage information;
  3. transcripts;
  4. conversation excerpts;
  5. Routine Summaries;
  6. Elevated Concern Flags;
  7. Critical Alerts;
  8. safeguarding-support information;
  9. suggested follow-up prompts;
  10. administrative analytics;
  11. class or cohort views;
  12. case-management or note features;
  13. reporting tools.

The exact information available through School Guardian may depend on product configuration, contract terms, school permissions, jurisdiction, and applicable law.

A Child User using a school-linked account should not expect interactions with Kumatomo to be private from authorized school personnel.

Schools are responsible for determining which personnel are authorized to access School Guardian and for applying appropriate confidentiality, safeguarding, and role-based access controls.

Schools are responsible for complying with all applicable student privacy, education-record, safeguarding, child-protection, data-protection, and institutional obligations.

11. Routine Summaries

The Services may generate Routine Summaries for ordinary use.

Routine Summaries may include information such as:

  1. conversation topics;
  2. emotional themes;
  3. school-related themes;
  4. routine and organization topics;
  5. communication practice;
  6. general wellbeing indicators;
  7. usage frequency;
  8. non-urgent follow-up suggestions.

Routine Summaries may be shared with Parents through Kuma Guardian and, where applicable, with Schools through School Guardian.

Routine Summaries are AI-generated and may be incomplete or inaccurate. Parents, Guardians, and Schools should treat them as supportive information only.

12. Elevated Concern Flags

The Services may generate Elevated Concern Flags where an interaction appears to involve issues more serious than ordinary everyday support, even where no immediate emergency is detected.

Examples may include:

  1. repeated sadness;
  2. persistent worry;
  3. bullying concerns;
  4. social isolation;
  5. family conflict;
  6. school refusal themes;
  7. repeated anger or distress;
  8. sleep-related concerns;
  9. friendship or peer conflict;
  10. emotional overwhelm;
  11. concerning repeated patterns;
  12. statements that may require adult follow-up.

Elevated Concern Flags may be surfaced to Parents through Kuma Guardian and, where applicable, to Schools through School Guardian.

An Elevated Concern Flag does not mean that Kumatomo Limited has diagnosed a problem, confirmed a risk, or determined that intervention is required. It means the Services have detected or inferred content that may justify adult attention.

13. Critical Alerts

The Services may generate Critical Alerts where an interaction appears to involve potentially urgent, serious, or high-risk content.

Examples may include:

  1. self-harm;
  2. suicidal thoughts;
  3. threats of suicide;
  4. abuse;
  5. neglect;
  6. exploitation;
  7. violence;
  8. threats to others;
  9. serious eating-related risk;
  10. severe distress;
  11. unsafe behavior;
  12. dangerous challenges;
  13. possible grooming;
  14. emergency-related statements;
  15. other safeguarding concerns.

Critical Alerts may be surfaced to Parents through Kuma Guardian and, where applicable, to Schools through School Guardian.

The Services may also interrupt or redirect the conversation, encourage the Child User to contact a trusted adult, recommend emergency help, restrict outputs, log the event, or take other safety-related action.

The absence of a Critical Alert does not mean that a child is safe. Parents, Guardians, and Schools must not wait for a Critical Alert before taking appropriate action.

14. No Confidentiality for Child Interactions

The Services are not designed to provide confidential communications for Child Users as against Parents, Guardians, or, where applicable, Authorized School Users.

A Child User must not use Kumatomo as:

  1. a secret diary;
  2. a private counselling line;
  3. a confidential therapy service;
  4. a hidden reporting channel;
  5. an emergency service;
  6. a substitute for speaking with a trusted adult.

To the extent permitted by law, Kumatomo Limited may prioritize child safety, parental visibility, school safeguarding, legal compliance, and service integrity over a Child User’s expectation that a conversation will remain hidden from adults.

15. Safety, Moderation, and Escalation

Kumatomo Limited may use automated systems and human-assisted processes to monitor, assess, classify, summarize, flag, restrict, review, or escalate interactions for safety, legal compliance, product integrity, and service quality.

The Services may determine that certain conversations should:

  1. continue normally;
  2. be summarized for adult visibility;
  3. be treated as Routine Summaries;
  4. be treated as Elevated Concern Flags;
  5. be treated as Critical Alerts;
  6. be redirected;
  7. be interrupted;
  8. be restricted;
  9. be reviewed;
  10. result in account limitation or suspension.

We do not guarantee that every concerning issue will be detected.

We do not guarantee real-time review.

We do not guarantee that every flag or alert will be seen or acted on by a Parent, Guardian, School, or Authorized School User.

16. No Emergency Service

The Services are not an emergency service and are not monitored as an emergency service.

Do not use the Services to request or depend on emergency response, crisis intervention, suicide prevention, abuse reporting, medical triage, or urgent safeguarding action.

If there is any immediate danger or urgent concern, contact emergency services, local crisis resources, child-protection authorities, licensed professionals, or trusted adults immediately.

Kumatomo Limited does not warrant that any summary, flag, or alert will be generated, transmitted, received, reviewed, or acted upon in time to prevent harm.

17. Child Emotional Safety and Dependency Prevention

Kumatomo is intended to support healthy real-world relationships and adult involvement.

The Services are not intended to replace Parents, Guardians, teachers, peers, counsellors, therapists, doctors, or other human support.

The Services may be designed to avoid or restrict outputs that:

  1. encourage emotional dependency;
  2. encourage secrecy from adults;
  3. suggest exclusivity;
  4. suggest that the AI is the child’s only friend;
  5. imply romantic or intimate attachment;
  6. claim that the AI loves or needs the child;
  7. use guilt to keep the child engaged;
  8. discourage contact with real people;
  9. imply human consciousness or sentience;
  10. imply professional credentials that the Services do not have.

The Services may encourage a Child User to:

  1. take a break;
  2. speak with a Parent or Guardian;
  3. speak with a teacher or trusted adult;
  4. do something offline;
  5. seek human help;
  6. stop using the Services in a particular moment.

We may limit emotionally intense sessions, interrupt dependency-like interaction patterns, or otherwise design the Services to reduce emotional dependency risks.

18. SEN and Additional Support Needs

The Services may be used by some children with special educational needs, additional support needs, neurodivergent learning profiles, communication differences, or other educational support needs.

However, the Services are provided only as supplemental support tools for communication support, routine support, reflection, organization, school engagement, social-emotional learning, and similar non-clinical functions.

The Services do not diagnose autism, ADHD, learning disorders, speech disorders, language disorders, mental-health conditions, developmental conditions, or any other condition.

The Services do not determine legal entitlements, accommodations, placements, treatment, funding, or eligibility for support.

The Services may be less reliable for some users, including users with speech differences, atypical communication patterns, background noise, language-processing differences, disability-related communication characteristics, or low speech intelligibility.

Parents, Guardians, Schools, and qualified professionals remain responsible for determining whether the Services are appropriate for a particular Child User.

19. Parent Responsibilities

Parents and Guardians are responsible for:

  1. deciding whether the Services are appropriate for the Child User;
  2. providing accurate account and profile information;
  3. obtaining and maintaining any required permissions or consents;
  4. informing the Child User that use of the Services is not confidential from the Parent or Guardian;
  5. supervising the Child User’s use as appropriate;
  6. reviewing Kuma Guardian summaries, flags, and alerts;
  7. keeping contact details and notification settings up to date;
  8. securing account credentials;
  9. taking action if the Child User shows signs of distress or risk;
  10. contacting professionals or emergency services when necessary;
  11. withdrawing the Child User from the Services if the Parent or Guardian no longer considers the Services appropriate.

Parents and Guardians remain responsible for all real-world parenting, supervision, welfare, health, safety, and emergency decisions.

20. School Responsibilities

Where the Services are used by or through a School, the School is responsible for:

  1. determining whether and how the Services may be used in its setting;
  2. ensuring appropriate staff authorization;
  3. configuring role-based access where available;
  4. providing any required notices, consents, approvals, or disclosures;
  5. informing students and parents about school-linked use where required;
  6. maintaining its own safeguarding procedures;
  7. maintaining its own child-protection procedures;
  8. maintaining its own student privacy procedures;
  9. reviewing School Guardian outputs as appropriate;
  10. ensuring School Guardian is used only by trained and authorized staff;
  11. making all decisions regarding student welfare, discipline, support, accommodations, referrals, and safeguarding;
  12. complying with all applicable education, student-data, privacy, safeguarding, and institutional obligations.

The School must not treat the Services as a substitute for professional judgment, direct supervision, safeguarding procedures, or child-protection responsibilities.

21. Human Review

Kumatomo Limited may permit authorized personnel, contractors, moderators, support staff, safety reviewers, or service providers to access certain data where reasonably necessary for:

  1. customer support;
  2. troubleshooting;
  3. safety review;
  4. trust and safety;
  5. moderation;
  6. service quality;
  7. abuse prevention;
  8. legal compliance;
  9. security;
  10. product operation;
  11. enforcement of these Terms.

Human review may apply to transcripts, Voice Data, flags, summaries, alerts, support requests, logs, or related records.

We do not promise human review of every interaction.

22. Privacy and Data Handling

By using the Services, or by allowing a Child User to use the Services, you acknowledge and agree that Kumatomo Limited may collect, use, store, analyze, disclose, transfer, and otherwise process personal data, Voice Data, Conversation Data, and related information as necessary to provide and operate the Services.

This may include:

  1. account information;
  2. profile information;
  3. child, parent, and school linkage information;
  4. Voice Data;
  5. transcripts;
  6. AI responses;
  7. summaries;
  8. alerts;
  9. flags;
  10. device information;
  11. usage data;
  12. support communications;
  13. technical logs;
  14. administrative records.

We may process data for purposes including:

  1. providing the Services;
  2. enabling voice interaction;
  3. converting speech to text;
  4. generating AI responses;
  5. producing summaries;
  6. producing flags and alerts;
  7. supporting parent visibility through Kuma Guardian;
  8. supporting school visibility through School Guardian;
  9. safety analysis;
  10. abuse prevention;
  11. troubleshooting;
  12. customer support;
  13. service improvement where permitted;
  14. enforcing these Terms;
  15. complying with legal obligations;
  16. protecting users and others.

We may use service providers, subprocessors, cloud providers, analytics providers, speech-processing providers, AI providers, security providers, support providers, and other vendors to help deliver the Services.

We may process or transfer data across jurisdictions where permitted by law and subject to applicable safeguards.

We use reasonable administrative, technical, and organizational measures to protect data, but no system can be guaranteed fully secure.

23. Disclosure to Parents and Schools

You expressly authorize Kumatomo Limited to make Conversation Data, Voice Data, transcripts, summaries, flags, alerts, usage information, and related content available to:

  1. Parents or Guardians through Kuma Guardian;
  2. Schools and Authorized School Users through School Guardian where the account is school-linked;
  3. authorized personnel of Kumatomo Limited for permitted operational purposes;
  4. service providers assisting us in operating the Services;
  5. other persons or entities where required by law, necessary for safety, necessary to protect rights or users, or otherwise permitted by these Terms.

We may disclose relevant information without further notice to the Child User where we reasonably consider that disclosure is appropriate for safety, supervision, legal compliance, contract performance, service integrity, or protection of users or others.

24. Consent, Withdrawal, Access, and Deletion

A Parent, Guardian, or authorized School may request that a Child User’s access be limited, suspended, or terminated, subject to legal, contractual, technical, operational, and safety constraints.

A Parent, Guardian, or authorized School may request access, correction, deletion, or export of certain data where applicable law provides such rights and where the request can be lawfully honored.

  7. contract enforcement;
  8. backup integrity;
  9. school record requirements;

If required consent is withdrawn, some or all Services may become unavailable.

25. Prohibited Uses

You may not use, or allow a Child User to use, the Services:

  1. for unlawful, abusive, harmful, deceptive, or fraudulent purposes;
  2. as a substitute for therapy, counselling, medical treatment, or emergency response;
  3. to delay contacting a qualified professional or emergency service when needed;
  4. to hide risk or safeguarding issues from responsible adults;
  5. to create a false impression that Kumatomo is a licensed professional;
  6. to test, exploit, bypass, or interfere with safety systems;
  7. to upload or transmit malicious code;
  8. to impersonate others;
  9. to collect information about other children without authorization;
  10. to make unattended disciplinary, educational, medical, psychological, or safeguarding decisions;
  11. to violate school policy, applicable law, or another person’s rights;
  12. to reverse engineer, scrape, copy, or misuse the Services.

26. Account Security and Accuracy

Parents, Guardians, Schools, and users must provide accurate information when creating or linking accounts, profiles, classes, permissions, and adult-child relationships.

You are responsible for ensuring that:

  1. the correct child is linked to the correct Parent or Guardian account;
  2. the correct child is linked to the correct School account where applicable;
  3. contact details are current;
  4. notification settings are appropriate;
  5. authorized viewers are correctly designated;
  6. unauthorized access is removed promptly;
  7. account credentials are kept secure.

Kumatomo Limited is not responsible for errors caused by inaccurate setup, incorrect account linking, stale contact information, unauthorized sharing of credentials, or failure to review notifications.

27. Service Availability and Changes

We may add, remove, suspend, restrict, or modify any part of the Services at any time, including child-facing features, parent visibility features, school features, summaries, alerts, safety logic, dashboards, integrations, retention settings, or account controls.

We may do so for reasons including:

  1. safety;
  2. legal compliance;
  3. operational needs;
  4. abuse prevention;
  5. product improvement;
  6. technical changes;
  7. business reasons.

We may impose limits on access, features, accounts, usage, storage, review workflows, notifications, or jurisdictions.

28. Suspension and Termination

We may suspend, restrict, or terminate access to the Services, with or without notice where permitted by law, if we determine that:

  1. these Terms have been violated;
  2. required consent or authority is missing, invalid, withdrawn, disputed, or incomplete;
  3. a safety risk exists;
  4. misuse or abuse has occurred;
  5. continued access would create legal, operational, privacy, or safety risk;
  6. suspension or termination is otherwise appropriate.

A Parent, Guardian, or School may stop using the Services at any time, subject to any separate contract, school agreement, or billing commitment.

Sections that by their nature should survive termination will survive, including sections relating to data handling, safety, disclaimers, liability, disputes, intellectual property, and enforcement.

29. Intellectual Property

The Services, including software, models, prompts, workflows, interfaces, dashboards, reports, graphics, branding, designs, text, summaries, and related materials, are owned by Kumatomo Limited or its licensors and are protected by intellectual property laws.

Except as expressly permitted by us, you may not copy, modify, distribute, reverse engineer, scrape, resell, lease, sublicense, or create derivative works from the Services.

Feedback provided to us may be used by Kumatomo Limited without restriction or compensation, unless otherwise agreed in writing.

30. Third-Party Services and Providers

The Services may rely on third-party providers for hosting, speech processing, AI processing, analytics, communications, security, payment, support, infrastructure, or other operational functions.

We are not responsible for third-party services except to the extent required by applicable law or a separate written agreement.

Use of third-party integrations may be subject to additional terms, policies, and technical limitations.

31. Disclaimers

To the maximum extent permitted by law, the Services are provided on an “as is” and “as available” basis.

Kumatomo Limited disclaims all warranties, representations, and guarantees, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, reliability, and suitability.

Without limiting the above, Kumatomo Limited does not warrant that the Services will:

  1. be uninterrupted;
  2. be error-free;
  3. understand every child accurately;
  4. correctly classify every conversation;
  5. detect every risk;
  6. prevent harm;
  7. provide appropriate outputs in every circumstance;
  8. be suitable for every child;
  9. be suitable for every SEN profile;
  10. be suitable for every school;
  11. satisfy every legal requirement in every configuration without customer action;
  12. replace Parents, Guardians, Schools, counsellors, therapists, doctors, emergency services, or other professionals.

32. Limitation of Liability

To the maximum extent permitted by law, Kumatomo Limited and its directors, officers, employees, contractors, affiliates, licensors, and service providers will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for loss of data, loss of business, loss of goodwill, emotional distress, educational outcomes, health outcomes, personal injury, or failure to prevent harm arising from or related to the Services.

To the maximum extent permitted by law, Kumatomo Limited’s total aggregate liability arising out of or relating to the Services or these Terms will not exceed the amount paid to Kumatomo Limited for the relevant Services in the twelve months before the event giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law.

33. Responsibility for Real-World Decisions

Parents, Guardians, Schools, and other responsible adults remain solely responsible for all real-world decisions regarding:

  1. child safety;
  2. supervision;
  3. discipline;
  4. welfare;
  5. medical care;
  6. mental-health care;
  7. emergency response;
  8. school support;
  9. safeguarding action;
  10. professional referrals;
  11. support planning;
  12. any decision made in response to information generated by the Services.

The Services are supportive tools only and must not be treated as the final or sole basis for decisions affecting a child.

34. School and Institutional Agreements

Where the Services are used through a School or institution, separate order forms, data-processing agreements, privacy schedules, school agreements, or institutional policies may also apply.

If a separate signed institutional agreement expressly governs a specific issue, that agreement will control for that issue as between Kumatomo Limited and the institution.

These Terms continue to apply to end-user conduct unless otherwise stated.

35. Marketing and Representation Restrictions

No user, School, partner, reseller, or other person may describe, market, resell, or represent the Services as:

  1. therapy;
  2. psychotherapy;
  3. counselling;
  4. speech therapy;
  5. diagnosis;
  6. medical treatment;
  7. mental-health treatment;
  8. psychiatric treatment;
  9. crisis intervention;
  10. suicide prevention;
  11. emergency care;
  12. a medical device;
  13. a clinically validated substitute for professional care.

Permitted descriptions may include educational support, communication support, wellbeing support, routine support, social-emotional learning support, school support, parent visibility, and safeguarding-support features.

36. Changes to These Terms

We may update these Terms from time to time.

If we make changes, we may provide notice by posting the updated Terms on kumatomo.com, through the Services, by dashboard notification, by email, or by other reasonable means.

Your continued use of the Services after the effective date of updated Terms constitutes acceptance of the revised Terms, unless applicable law requires a different form of consent.

If you do not agree to revised Terms, stop using the Services and do not allow a Child User to continue using the Services.

37. Governing Law and Jurisdiction

These Terms are governed by the laws of Hong Kong, without regard to conflict of law rules, except to the extent mandatory local law requires otherwise.

The courts of Hong Kong will have jurisdiction over disputes arising from or relating to these Terms or the Services, except where mandatory consumer, child, education, or privacy laws provide otherwise.

Nothing in these Terms limits any non-waivable rights a child, parent, guardian, school, student, or consumer may have under applicable law.

38. Severability

If any provision of these Terms is held invalid, unlawful, or unenforceable, the remaining provisions will remain in full force and effect to the maximum extent permitted by law.

39. No Waiver

Failure by Kumatomo Limited to enforce any provision of these Terms will not constitute a waiver of that provision or any other provision.

40. Entire Agreement

These Terms, together with any applicable privacy notice, school agreement, data-processing agreement, order form, or other document expressly incorporated by reference, constitute the entire agreement between you and Kumatomo Limited regarding the Services, except where a separate signed agreement applies.
